✏Mergers And Acquisitions Book Summary : This book is an honest attempt to capture the entire spectrum of M&A activity and share the contours of the implementation process. From valuation to integration, the book is sure to help managers think through what such a strategic move would mean to the organisation. The book attempts to provide working knowledge and skill of underlying concepts, contractual obligations, tax impact and legal background of M&A. Precisely, the book is written to show business managers and financial executives which kind of corporate restructuring can be worked out in the organisation and how best to analyse, design and implement M&A deals. The book can be classified into four basic frameworks. The first three chapters may be clubbed into the conceptual framework, where conceptual issues and economic consequences of M&A are discussed in detail. Critical issues like valuation and due diligence, which forms an integral part of any M&A, are examined with great care to emphasise the framework for pre-merger issues. The legal framework borders on areas like regulatory issues, tax impact, cross-border legal complications, transfer pricing and deal structuring. It is worth mentioning that the structuring of the deals has changed a lot in the recent years under the weight of hundreds of legal precedents, accounting rules and regulatory impositions. The last framework encompasses strategic issues of merger management leading to creation of value to the organisation. Attempt has also been made to find out why mergers fail and how to make them successful. To have a logical conclusion, towards the end, great corporate cases have been presented with high level of clarity and openness to reinforce the learning in earlier chapters. In fact, the cases are the USP of the book.

✏Going Global Book Summary : English summary: This book is both a study about the Socratic-Platonic conception of a good life, and an analytical study on self-knowledge, self-determination, and moral motivation. In the first part of his book, the author provides a detailed analysis of arguments from The Apology, Protagoras, Laches, Meno, Gorgias, Charmides, Republic, and Phaedo. For Socrates, the life we ought to live is the good life (or happiness, eudaimonia); the life we want to live - once we know what it means to live - is a good life. The good life requires the knowledge of human well-being, which is to be acquired by way of questioning ourselves and examining our and others' beliefs. An agent who possesses this knowledge pursues three general, supreme goals: she wants to know the particular action, which is all-things-considered in a present situation the best means to her happiness; she wants to act on her knowledge; and she does not want to harm other people. Hardy defends a non-reductive reading of Socratic intellectualism: The knowledge about human well-being is a comprehensiveuboth theoretical, and practical, knowledge, which encompasses all the relevant mental capacities and abilities of a person. In the second part of the book, the author presents a theory of self-knowledge, self-determination, and moral motivation on the basis of his interpretation of the Socratic conception of virtue. German text.

✏Mergers Acquisitions and Global Empires Book Summary : Companies that have acquired other enterprises through mergers and acquisitions (M&A) have in essence become entities that are akin to the global "empires" of history. In this book, the author weaves a unique narrative that looks at both empires of business created from M&A and global empires from world history in an attempt to answer the question: why do certain empires endure for long periods while others collapse in a short space of time. Empires formed from M&A or conquest have a hierarchical relationship of control and domination by a single authority or centre that can be described as a "parent company" or a "mother country" over another group of people based in a periphery that can be described as a "subsidiary company" or "colony." Given their similarities in development and structure, the author argues from looking at examples of empires in Western and Asian history as well as major M&A cases that long enduring empires created from M&A and global empires have a common cultural trait; their practice of "tolerance" within their organizations/societies. While there are books on the topics of M&A and empires, at present there is no single text that examines the impact of culture on both. This book is intended to fill such a void and provide hints and suggestions to those practitioners of M&A as well as students of business and history who want an accessible, non-technical narrative on what makes empires, whether they are of the nation or of M&A endure and prosper.

✏Cross Border Mergers and Acquisitions Book Summary : Cross-border mergers and acquisitions (CBM&As) activity has become an important vehicle for firms’ internationalization and corporate restructuring over the past three decades. Despite the huge volume of global CBM&A activity, however, there are few books which carefully explore the strategies, motives, and consequences of global mergers and acquisitions. This book discusses and synthesizes the theoretical literature on the motivation and performance of international merger activities. Focusing on the UK as a top acquiring country in the European Union, the authors explore the recent trends in cross-border mergers and acquisitions, motives for cross-border mergers and acquisitions, the mergers integration process, home and host countries’ macroeconomic consequences on mergers and acquisitions, and shareholder’s wealth effects on CBM&A. This book explores and sheds much-needed light on the UK CBM&A market, what drives it, and what lessons can be learned for other regions around the globe.

✏Family Multinationals Book Summary : In contrast to widespread assessments that family enterprises lack sufficient resources and capabilities to go global, many family companies are competing successfully in an increasingly globalized business environment. Worldwide, a large number of thriving multinationals are still family-owned and/or under family control. While there is abundant literature on the phenomenon of globalization from many different disciplines, neither the literature on multinationals nor the growing field of family business studies have systematically investigated family multinationals yet. This volume is one of the first to deal explicitly with family multinationals and the role of the family in internationalization. It situates itself at the crossroads of internationalization studies on the one hand and family business research on the other. Why do families continue to play such a large role in some of the most prominent firms in emerging and mature economies? How did they manage to maintain ownership control, yet divest of unrelated business ventures? How did they internationalize yet maintain control? This book identifies the idiosyncratic strategies and structures of family multinationals in different countries and at different points in time. A comparative historical and case study approach allows us to explore the role of the family through the firms’ various internationalization pathways and understand long-term developments and path dependencies.

✏The Global Farms Race Book Summary : As we struggle to feed a global population speeding toward 9 billion, we have entered a new phase of the food crisis. Wealthy countries that import much of their food, along with private investors, are racing to buy or lease huge swaths of farmland abroad. The Global Farms Race is the first book to examine this burgeoning trend in all its complexity, considering the implications for investors, host countries, and the world as a whole. The debate over large-scale land acquisition is typically polarized, with critics lambasting it as a form of “neocolonialism,” and proponents lauding it as an elixir for the poor yields, inefficient technology, and unemployment plaguing global agriculture. The Global Farms Race instead offers diverse perspectives, featuring contributions from agricultural investment consultants, farmers’ organizations, international NGOs, and academics. The book addresses historical context, environmental impacts, and social effects, and covers all the major geographic areas of investment. Nearly 230 million hectares of farmland—an area equivalent to the size of Western Europe—have been sold or leased since 2001, with most of these transactions occurring since 2008. As the deals continue to increase, it is imperative for anyone concerned with food security to understand them and their consequences. The Global Farms Race is a critical resource to develop that understanding.

✏The Management of International Acquisitions Book Summary : This book addresses two important areas of concern for managers and management researchers. What are the management challenges involved in the acquisition of a foreign subsidiary? Why do companies pursue a strategy of growth through acquisition when the evidence shows performance is disappointing? In addition to addressing these questions, the authors examine both the acquisitions of foreign companies in the UK and the 'acquirers' themselves. They discuss the theoretical background to the debate over the significance of national management practices as opposed to international norms of practice shaped by global forces transcending national boundaries. They then compare and contrast the management practices of the five countries from which the acquirers covered in this book originate: the UK, the USA, Japan, France, and Germany. The authors' research indicates that while considerable convergence is taking place on many dimensions of management practice, distinct national management styles still exist among acquiring companies. The findings also show that although some policies are generally associated with better post-acquisition performance across the board, no one national approach is more successful than another, so long as it is implemented with confidence, determination, and consistency. Failure tends to follow from a lack of these qualities, rather than from having the 'wrong' management style.

The authors start with the genesis of your strategy and the statutory framework, before the partner company has been identified then move on to each of the stages of negotiation, merger announcement, pre-merger preparation, and in the critical first 100 days, following the merger.
